Sodali European Commission package 2014
Corporate governance is an issue high on the agenda in Europe.
The European Commission has in the past year released several proposals, rules and recommendations to improve corporate governance for listed companies within the EU. The proposals aim to encourage long-term shareholder engagement, improve shareholder rights and corporate governance reporting by the companies.
Herewith a summary of main reforms prepared by Sodali, including:
-Proposals to revise the Shareholder Rights Directive (Directive 2007/36/EC)
-Recommendation on the quality of corporate governance reporting (‘comply or explain principle’)
-Directive amending the existing Statutory Audit Directive
-Directive on disclosure of non-financial and diversity information
